Terms & Conditions — Buyers

1.1 "The Platform" — The Sourcing Vault, a property deal marketplace operated by The Sourcing Vault Limited (Co. No. 16443781).

1.2 "Deal Sourcer" — an independent third-party who sources and lists property opportunities on The Platform as a subscribing member. Not an employee, agent, or representative of TSV.

1.3 "Investor"/"Buyer" — any person engaging with The Platform to view, enquire about, or proceed with a property opportunity.

1.4 "Vendor" — the property owner or seller marketing a property via a Deal Sourcer.

1.5 "Information Pack"/"Memo of Sale" — all property details, documents, and information provided via The Platform for a specific opportunity.

1.6 "Sourcing Fee" — the total fee payable by the Buyer for being introduced to and supported through a property opportunity, as specified in the relevant property agreement.

1.7 "Deposit" — an optional reservation payment TSV may, at its discretion, require to secure your position on an opportunity ahead of the Memo of Sale. Where charged, it forms part of, and is deductible from, the Sourcing Fee.

1.8 "TSV Team" — TSV employees/representatives who handle enquiries, distribute Information Packs, and assist with deal progression.

2.1 TSV operates in two capacities: as a SaaS platform for Deal Sourcers, and as an intermediary/introducer for Investors — distributing Information Packs, answering enquiries, and assisting with deal progression on the Deal Sourcer's behalf.

2.2 This introducer role does not constitute estate agency under the Estate Agents Act 1979, or financial, mortgage, or legal advice.

2.3 TSV is not FCA authorised or regulated, and does not provide investment or regulated mortgage advice. Financial projections and yield/return figures are indicative only and are not a financial promotion under FSMA 2000.

2.4 Deal Sourcers are independent operators, not TSV employees, partners, or agents. As a condition of membership they confirm compliance with applicable UK property law. TSV does not verify this and accepts no liability for a Deal Sourcer's non-compliance.

3.1 You are solely responsible for your own independent due diligence on any opportunity, including: survey and structural inspection; legal searches and title verification (via your own solicitor); planning/building regulations checks; independent valuation; tenancy/occupancy/rental verification; financial and tax viability; and verification of the Deal Sourcer's track record.

3.2 You accept full responsibility for all purchase decisions. Reliance on Platform information without independent verification is at your own risk.

3.3 These Terms are intended for engagement in the course of property investment activity rather than as a private consumer. Where you are nonetheless found to be a consumer under applicable law, the provisions of these Terms apply only to the extent permitted by that law, and your statutory rights as a consumer are not affected.

4.1 Nothing communicated by TSV, a Deal Sourcer, or an Information Pack constitutes financial, investment, or regulated mortgage advice.

4.2 Yield, growth, and return figures are illustrative only; past performance of comparable properties is not a reliable indicator of future results.

4.3 You must seek independent advice from FCA-authorised professionals (mortgage broker, IFA) and a property solicitor before proceeding.

5.1 TSV may introduce you to third-party service providers (brokers, solicitors, insurers, property managers, etc.) and may receive a referral fee for doing so — this will be disclosed at the time.

5.2 You are free to use your own providers instead. TSV accepts no liability for the acts, omissions, or quality of any third-party service.

6.1 The total Sourcing Fee is as specified in the relevant Information Pack and property agreement.

6.2 The full Sourcing Fee is due and payable immediately on issue of the Memorandum of Sale, unless alternative terms are agreed in writing.

6.3 TSV may, at its discretion, require a Deposit to secure your position ahead of the Memo of Sale. Where charged, it is deductible from the Sourcing Fee, and the opportunity is not secured until the Deposit is received and cleared.

6.4 Payment is by bank transfer only; we do not accept cash. Failure to pay the Sourcing Fee when due results in automatic cancellation of the deal and forfeiture of any Deposit paid (Clause 7.3).

6.5 The Sourcing Fee covers TSV's introduction and facilitation services only — it excludes fees payable to Deal Sourcers, agents, solicitors, surveyors, brokers, or other third parties, which are your sole responsibility.

6.6 Some Deal Sourcers or Vendors operate their own separate reservation deposit. Where this applies, it will be made clear to you at the point of purchase, is governed entirely by that party's own terms, and is separate from and independent of the Sourcing Fee — TSV has no responsibility for it.

7.1 All communication regarding an opportunity must go through TSV. You must not contact the Vendor, Deal Sourcer, or any connected party directly without TSV's prior written consent. Unauthorised contact is a material breach and may result in termination of the introduction and forfeiture of fees paid.

7.2 If you purchase a property TSV presented to you — via any route (TSV, the Vendor, the Deal Sourcer, or otherwise) — within 36 months of your initial reservation, the full Sourcing Fee remains due, regardless of changed terms, a withdraw-and-re-engage, or an alternative arrangement proposed by the Vendor or Deal Sourcer. This reflects TSV's compensation for the introduction, due diligence work, and opportunity cost already incurred in presenting the opportunity to you, and is not intended to operate as a penalty.

7.3 Where a Deposit is charged, it is non-refundable, save in these circumstances: (a) the Vendor or Deal Sourcer withdraws the property for reasons unrelated to your conduct; (b) TSV fails to provide the Information Pack/Memo of Sale within 10 working days of payment, through no fault of yours; or (c) TSV (not the Deal Sourcer or Vendor) materially misrepresents a key property characteristic you relied on, rendering the property fundamentally unsuitable. It is not refundable for reasons within your control — including change of mind, unsatisfactory survey/valuation/DD findings, funding failure, undisclosed defects not covered by (c), your breach of these Terms, or the Vendor accepting another offer due to your delay.

7.4 A separate deposit payable directly to a Deal Sourcer, Vendor, or their representative (Clause 6.6) is governed entirely by their own terms; refund of one deposit does not affect the other.

7.5 Deposit refund disputes will be reviewed and determined in writing within 10 working days; unresolved disputes may be escalated via the Complaints Procedure (Clause 12).

8.1 TSV provides an introduction and facilitation service only. To the extent permitted by law, TSV accepts no liability for: the accuracy of information supplied by Deal Sourcers/Vendors; the condition, value, or investment performance of any property; losses from a purchase or failed completion; or the acts, omissions, or compliance status of any Deal Sourcer, Vendor, or third-party provider.

8.2 Subject to Clause 8.3, TSV's total aggregate liability arising from any opportunity is capped at the total Sourcing Fee paid in respect of that opportunity, to the extent such a cap is reasonable and permitted by law.

8.3 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.

9.1 Property information originates from independent Deal Sourcers and Vendors. TSV takes reasonable care in presenting it but cannot guarantee accuracy or completeness and accepts no liability for errors or omissions.

9.2 All details, figures, and comparables are guidance only, not to be relied on without independent verification.

10.1 Payment of a Deposit and/or Sourcing Fee does not guarantee completion — properties may be withdrawn, sold elsewhere, or become unavailable for reasons outside TSV's control.

10.2 The Sourcing Fee pays for TSV's introduction and facilitation service, not a guaranteed outcome.

TSV is a data controller under UK GDPR and the Data Protection Act 2018, and processes personal data only for lawful purposes as set out in our Privacy Policy. Contact us to exercise your data rights.

Complaints must be submitted in writing to info@thesourcingvault.co.uk (subject: "Complaint"), with relevant dates, names, and supporting information — we do not accept complaints via WhatsApp, social media, phone, or web form. We will acknowledge within 2 working days and respond in full within 10 working days. Deposit disputes are assessed under Clause 7. Where your complaint concerns a Deal Sourcer's property-sourcing activity and remains unresolved, you may escalate to the Property Redress Scheme (www.theprs.co.uk) where the matter falls within its scope.

These Terms, together with the relevant property agreement, constitute the entire agreement between TSV and the Investor and supersede all prior discussions or representations. No variation is effective unless agreed in writing by an authorised TSV representative.

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
