IMPORTANT NOTICE: Please read these Terms & Conditions carefully before engaging with The Sourcing Vault. By accessing our platform, submitting an enquiry, or proceeding with any property opportunity, you confirm that you have read, understood, and agree to be bound by these Terms.

1. Definitions

1.1  "The Platform" means The Sourcing Vault, a property deal marketplace operated by The Sourcing Vault Limited (Company No. 16443781).

1.2  "Deal Sourcer" means an independent third-party individual or company who sources property investment opportunities and lists them on The Platform as a subscribing member. Deal Sourcers are independent operators and are not employees, agents, or representatives of The Sourcing Vault.

1.3  "Investor" or "Buyer" means any person who engages with The Platform to view, enquire about, or proceed with a property opportunity.

1.4  "Vendor" means the property owner or seller marketing a property via a Deal Sourcer.

1.5  "Information Pack" or "Memo of Sale" means all property details, documents, and information provided via The Platform in relation to a specific opportunity.

1.6  "Sourcing Fee" means the total fee payable by the Buyer for being introduced to and supported through a property opportunity, as specified in the relevant property agreement.

1.7  "Deposit" means the initial reservation payment of £500.00, forming part of the total Sourcing Fee.

1.8  "TSV Team" means employees and representatives of The Sourcing Vault who handle investor enquiries, distribute Information Packs, and assist with deal progression.

2. The Role of The Sourcing Vault

2.1 Dual Role

2.1.1  The Sourcing Vault operates in two distinct capacities:

As a software platform (SaaS) for Deal Sourcers, providing tools to list, manage, and market property opportunities; and

As an intermediary and introducer for Investors, facilitating access to curated property opportunities, distributing Information Packs, answering enquiries, and assisting with deal progression on behalf of the Deal Sourcer.

2.2 Investor-Facing Services

2.2.1  When engaging with Investors, the TSV Team acts as an introducer and point of contact. This includes responding to enquiries, issuing Memos of Sale, providing deal information, and, where appropriate, assisting with negotiations between Investors and Deal Sourcers or Vendors.

2.2.2  This introduction and facilitation service does not constitute estate agency under the Estate Agents Act 1979, financial advice, mortgage advice, legal advice, or any other regulated service.

2.2.3  The Sourcing Vault is not FCA authorised or regulated. We do not provide investment advice or advice relating to regulated mortgage contracts. All financial projections, yield estimates, and return calculations contained in Information Packs are provided for indicative purposes only and do not constitute regulated financial promotion under the Financial Services and Markets Act 2000 (FSMA).

2.3 Deal Sourcer Independence

2.3.1  All Deal Sourcers listing opportunities on The Platform are independent operators. They are not employees, partners, or agents of The Sourcing Vault.

2.3.2  Deal Sourcers are required, as a condition of membership, to confirm that they operate in full compliance with applicable UK property laws and regulations at the time of listing, including — where applicable — The Property Ombudsman Code of Practice and any requirements under the Estate Agents Act 1979.

2.3.3  The Sourcing Vault does not verify the compliance status of Deal Sourcers and accepts no liability for any failure by a Deal Sourcer to comply with applicable regulations. Investors should conduct their own due diligence on the Deal Sourcer as part of their wider due diligence obligations.

3. Investor's Obligations & Due Diligence

3.1  You acknowledge that you are solely responsible for conducting your own independent due diligence on any property opportunity accessed via The Platform.

3.2  Your due diligence obligations include, but are not limited to:

Commissioning a property survey and structural inspection

Instructing a solicitor to carry out all legal searches and verify title

Checking planning permissions and building regulations compliance

Obtaining independent market valuations and comparable analysis

Verifying tenancy status, occupancy, and rental income (where applicable)

Assessing financial viability, investment returns, and tax implications

Verifying the compliance and track record of the Deal Sourcer

3.3  You must instruct your own solicitor to act on your behalf throughout the transaction. The Sourcing Vault cannot provide legal advice or act in a legal capacity.

3.4  You accept full and sole responsibility for all decisions made in connection with any property purchase. Reliance on any information provided via The Platform, without independent verification, is at your own risk.

3.5  You confirm that you are not a consumer acting in a personal capacity for purposes unrelated to property investment, and that you have the financial capacity and appropriate knowledge to assess the risks of property investment.

4. No Financial, Legal, or Investment Advice

4.1  The Sourcing Vault is not authorised or regulated by the Financial Conduct Authority (FCA). Nothing communicated by the TSV Team, Deal Sourcers, or contained in any Information Pack constitutes financial advice, investment advice, or advice on regulated mortgage contracts under FSMA 2000.

4.2  Any financial projections, rental yields, capital growth estimates, or return on investment calculations provided are illustrative estimates only. Past performance of comparable properties is not a reliable indicator of future results.

4.3  You must seek independent advice from appropriately qualified and FCA-authorised professionals — including a mortgage broker, independent financial adviser, and property solicitor — before proceeding with any purchase.

4.4  The communication of deal information by the TSV Team does not constitute a financial promotion for the purposes of Section 21 FSMA 2000. All information is provided for the purpose of facilitating introductions to property opportunities only.

5. Third-Party Introductions & Referral Fees

5.1  The Sourcing Vault may introduce you to third-party service providers including mortgage brokers, insurance brokers, solicitors, property management companies, or other professionals relevant to your transaction.

5.2  Where we make such introductions, The Sourcing Vault may receive a referral fee or commission from the third-party provider. This fee is typically calculated as a percentage of the value of the service or transaction, and the specific amount will vary depending on the service provider and arrangement in place.

5.3  We will disclose the existence of any referral arrangement when making an introduction. You are under no obligation to use any third-party service provider introduced by TSV and are free to source your own.

5.4  The Sourcing Vault does not guarantee the quality, suitability, or outcome of any third-party service and accepts no liability for the acts or omissions of any third party.

6. Sourcing Fee & Payment Terms

6.1  The total Sourcing Fee for each property opportunity is as specified in the relevant Information Pack and individual property agreement.

6.2  Payment is structured in two stages:

Stage 1 — Reservation Deposit: £500.00 payable immediately upon reservation of the opportunity, deductible from the total Sourcing Fee.

Stage 2 — Balance of Sourcing Fee: The remaining balance, as invoiced, becomes due and payable upon issue of the Memorandum of Sale.

6.3  An invoice for the balance of the Sourcing Fee will be issued by The Sourcing Vault upon the Memorandum of Sale being prepared. Payment must be made by bank transfer within the timeframe stated on the invoice.

IMPORTANT: Failure to pay the balance invoice upon issue of the Memorandum of Sale may result in delays to your transaction, suspension of TSV's facilitation services, or cancellation of the deal. In the event of cancellation arising from non-payment, your Deposit will be forfeited in accordance with Clause 7.

6.4  All payments must be made by bank transfer only. We do not accept cash payments.

6.5  The Sourcing Fee covers The Sourcing Vault's introduction and facilitation services only. It does not include fees payable directly to Deal Sourcers, estate agents, solicitors, surveyors, mortgage brokers, or any other third-party professionals. You are solely responsible for all additional third-party costs.

7. Deposit Terms & Refund Policy

7.1  The £500.00 Deposit secures your access to the property opportunity and reserves your position as the nominated Buyer while the deal is progressed. It compensates The Sourcing Vault for administrative costs, TSV Team time, and the opportunity cost of holding the deal for you exclusively.

7.2 When Your Deposit Will Be Refunded

7.2.1  Your Deposit is refundable in the following circumstances only:

(a) Previously undisclosed structural defects, issues, or material facts are discovered that prevent the property from being mortgageable at the advertised value by mainstream lenders;

(b) A formal mortgage valuation results in a down-valuation of more than 15% below the advertised property value; or

(c) The deal is lost or withdrawn for reasons entirely outside your control — including but not limited to the Vendor or Deal Sourcer withdrawing the property from sale, the Deal Sourcer cancelling the deal, or a material misrepresentation of the property's key characteristics discovered during due diligence.

7.2.2  In circumstances falling under 7.2.1(c), The Sourcing Vault will assess the situation and make a determination, acting reasonably, as to whether the loss of deal was outside your control. This determination will be communicated to you in writing.

7.3 When Your Deposit is Non-Refundable

7.3.1  The Deposit is non-refundable in all other circumstances, including but not limited to:

(a) Your decision not to proceed with the purchase for any reason within your control

(b) Inability to secure mortgage financing due to your personal financial circumstances or credit profile

(c) Survey results that are unsatisfactory but do not prevent the property from being mortgaged

(d) Minor defects or issues that do not affect the mortgageability of the property

(e) Change of personal, financial, or professional circumstances

(f) Failure to pay the balance Sourcing Fee invoice on time, resulting in deal cancellation

(g) Your failure to proceed within a reasonable timescale, causing the Vendor or Deal Sourcer to withdraw

7.3.2  Where a property is clearly advertised as a cash purchase only or as unmortgageable, clauses 7.2.1(a) and 7.2.1(b) shall not apply.

How we decide: If there is any dispute about whether a deposit should be refunded, The Sourcing Vault will review the circumstances and make a fair determination in writing within 10 working days. You may escalate unresolved disputes via our Complaints Procedure set out in Clause 13.

8. Limitation of Liability

8.1  The Sourcing Vault provides an introduction and facilitation service. We accept no liability for:

(a) The accuracy, completeness, or suitability of any property information provided by Deal Sourcers or Vendors

(b) The condition, value, or investment potential of any property

(c) Any financial losses arising from a property purchase or failure to complete

(d) Failure of properties to achieve projected returns, rental income, or capital growth

(e) Acts or omissions of Deal Sourcers, Vendors, or third-party service providers

(f) Delays, withdrawals, or failures in the transaction process

(g) The compliance or regulatory status of any Deal Sourcer

8.2  Our total aggregate liability under any agreement or arising from any property opportunity shall not exceed the total Sourcing Fee paid by you in respect of that opportunity.

8.3  Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other matter that cannot be excluded by law.

9. Property Information & Accuracy

9.1  All property information is provided to The Sourcing Vault by independent Deal Sourcers and Vendors. While we make reasonable efforts to present Information Packs accurately, we cannot guarantee their completeness or accuracy and accept no liability for errors or omissions therein.

9.2  Property details, photographs, floor plans, financial projections, and comparable analysis are provided for guidance only and must not be relied upon without independent verification.

9.3  You must make your own enquiries and satisfy yourself as to all aspects of any property before proceeding with a purchase.

10. No Guarantee of Purchase

10.1  Payment of the Deposit and Sourcing Fee does not guarantee successful completion of the property purchase.

10.2  Properties may be withdrawn from sale, sold to other parties, or become unavailable for reasons beyond the control of The Sourcing Vault.

10.3  The Sourcing Fee constitutes payment for the introduction and facilitation service provided by The Sourcing Vault, not for the guaranteed successful completion of any transaction.

11. Data Protection & Privacy

11.1  The Sourcing Vault Limited is a data controller registered under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

11.2  We will collect and process your personal data only for lawful purposes, which include:

Facilitating your access to property opportunities on The Platform

Communicating with you regarding opportunities, transactions, and our services

Complying with legal and regulatory obligations

Administering your account and our business relationship

11.3  Your personal data may be shared with:

Deal Sourcers, to the extent necessary to progress a specific opportunity

Vendors and their representatives, as required for transaction purposes

Third-party service providers (e.g. solicitors, brokers) introduced by TSV, where you have consented

Our platform technology providers (including GoHighLevel) who process data on our behalf under appropriate data processing agreements

11.4  We will not sell your personal data to third parties. Data shared with Deal Sourcers and third parties is limited to what is necessary for the purposes of progressing the transaction.

11.5  Full details of how we collect, use, retain, and protect your data — including your rights under UK GDPR — are set out in our Privacy Policy, available at: https://thesourcingvault.co.uk/privacy-policy. You may contact us at any time to exercise your data rights.

11.6  You have the right to access your data, correct inaccuracies, request erasure, object to processing, and withdraw consent at any time where processing is based on consent. To exercise any of these rights, contact us at the address in Clause 15.

12. Entire Agreement

12.1  These Terms, together with the individual property agreement relevant to each opportunity, constitute the entire agreement between The Sourcing Vault and the Investor and supersede all prior discussions, representations, or agreements.

12.2  No variation to these Terms shall be effective unless agreed in writing and signed by an authorised representative of The Sourcing Vault.

13. Complaints Procedure

13.1  The Sourcing Vault is committed to providing a fair and transparent service. If you are dissatisfied with any aspect of our service, you should raise a complaint by following the procedure below.

Step 1 — How to Submit a Complaint

13.2  Complaints must be submitted in writing by email to [email protected] with the subject line 'Complaint'. Please include the nature of your complaint, relevant dates, names, and any supporting information. We do not accept complaints via WhatsApp, social media, telephone, or web form.

Step 2 — Acknowledgement & Review

13.3  All complaints are reviewed by the Team Manager or an appropriate senior officer. We will acknowledge receipt within 2 working days and aim to provide a full written response within 10 working days. If additional time is required, we will notify you in writing. Submission of a complaint does not imply any admission of fault or liability by The Sourcing Vault Limited.

Step 3 — Deposit Disputes

13.4  Disputes relating to the refund of a Deposit will be assessed in accordance with Clause 7 of these Terms. Our determination will be communicated to you in writing within 10 working days. If you remain dissatisfied, you may escalate via Step 4 below or seek independent legal advice.

Step 4 — Deal Sourcer Complaints & PRS Escalation

13.5  If your complaint relates to property sourcing activity undertaken by a Deal Sourcer and you are not satisfied with our response, you may have the right to escalate to the Property Redress Scheme (PRS), provided the matter falls within its scope. The Sourcing Vault will cooperate fully with any PRS investigation as required.

13.6  Where a complaint concerns the conduct of a specific Deal Sourcer, The Sourcing Vault will refer the matter to that Deal Sourcer and communicate the outcome to you. We cannot compel or guarantee any specific outcome from an independent third party.

These Terms do not affect your statutory rights or your right to seek legal redress through the courts of England and Wales.

14. Governing Law & Jurisdiction

14.1  These Terms shall be governed by and construed in accordance with the laws of England and Wales.

14.2  The parties submit to the exclusive jurisdiction of the courts of England and Wales in respect of any dispute arising out of or in connection with these Terms.
